TERMS OF USE

Prices are stated in US Dollars (USD), inclusive of all applicable taxes. Foreign exchange fees or currency conversion charges may be applied by the User’s financial institution if payment is made in a foreign currency.

The Company reserves the right to modify its Subscription prices at any time. Any price modification will be communicated to the User at least thirty (30) days prior to their Subscription renewal. If the User does not accept the price change, they may cancel their Subscription prior to the renewal date.

Subscription to a Plan is confirmed by the User through the validation process provided by the applicable app platform (Apple App Store or Google Play Store) or by the third-party payment provider integrated into the Application.

Payment is automatically charged at the beginning of each billing period (weekly or annual). By providing payment information, the User expressly authorizes recurring charges for the Subscription fee until cancellation.

The Company does not collect, store, or process the User’s banking or payment details at any time. Payment processing is fully delegated to Apple (In-App Purchases), Google (In-App Purchases), or a PCI-DSS certified third-party payment provider.

In accordance with statutory consumer protection laws (including Articles L. 221-18 et seq. of the French Consumer Code, where applicable), Users acting as consumers have a period of fourteen (14) days from the date of Subscription purchase to exercise their right of withdrawal, without providing any reason or incurring any penalty.

To exercise this right, the User must notify the Company of their decision by means of a clear, unambiguous statement (by email to contact@bioscore-app.com).

In the event of withdrawal, the Company shall refund all payments received from the User without undue delay and no later than fourteen (14) days from the date on which the Company was notified of the User’s decision to withdraw.

In accordance with applicable statutory regulations (including Article L. 221-25 of the French Consumer Code, where applicable), if the User expressly requests to begin using the Premium services prior to the expiration of the withdrawal period (specifically by uploading a lab panel or accessing a protocol during a free trial), the User acknowledges and agrees to waive their right of withdrawal for the portion of the services already provided. A pro-rated amount corresponding to the services utilized may be retained.

Subscriptions are entered into for a fixed term (weekly or annual) and automatically renew at the end of each period, unless terminated by the User.

The User may terminate their Subscription at any time:

• from their Account settings within the Application;

• from their Apple App Store or Google Play Store Account settings;

• by email sent to contact@bioscore-app.com.

Termination shall take effect at the end of the current billing period. The User will retain access to Premium features until that date. No refunds or credits will be issued for any partial or ongoing billing period.

The Company reserves the right to suspend or terminate a User’s Subscription in the event of a breach of these Terms of Service, upon formal notice sent by email that remains unaddressed for eight (8) days following receipt.

Termination results in the immediate cessation of access to Premium features. Any fees already paid by the User shall be non-refundable and retained by the Company.

The User voluntarily uploads their blood and urine lab results to the Application. The Company never requests or collects health data outside of the User’s voluntary submission.

The User is solely responsible for the accuracy and relevance of the data they upload to the Application. The Company does not warrant or guarantee the accuracy of automated data extraction from PDF files, which may be affected by document quality, report formatting, or specific lab provider standards.

The User is strongly advised to systematically verify all extracted values against their original physical or digital document.

The processing of health data is based on the User’s explicit consent, collected in accordance with Article 9(2)(a) of the General Data Protection Regulation (GDPR). Detailed terms regarding this processing are set forth in the Privacy Policy.

Under no circumstances shall the User’s health data be disclosed to insurers, employers, credit institutions, or any other third party that could use such data for selection, discrimination, or adverse decision-making purposes against the User.

The User agrees to:

• use the Application strictly in accordance with its intended purpose and these Terms of Service;

• provide accurate, current, and complete information during registration;

• maintain the confidentiality of their login credentials and not share them with third parties;

• not use the Application for any commercial, lucrative, or fraudulent purposes;

• not attempt to extract, copy, disassemble, decompile, or reverse engineer any portion of the Application or its Content;

• not use any software, scripts, bots, spiders, or other devices designed to disrupt, overload, or interfere with the proper functioning of the Application;

• not reproduce, distribute, or exploit any Application Content without the prior written consent of the Company.

The Company reserves the right to suspend or terminate the Account of any User who fails to comply with these obligations.

To the maximum extent permitted by applicable law, the Company shall not be liable for any damages or losses arising from or in connection with:

• any use of the Application that breaches these Terms of Service or is inconsistent with its intended purpose;

• internet network outages, telecommunications failures, or technical issues affecting the User’s device;

• temporary unavailability of the Application due to routine or emergency maintenance, updates, or technical upgrades;

• cyberattacks, security breaches, or events of Force Majeure (including acts of God, natural disasters, or disruptions beyond the Company’s reasonable control).

The Company shall not be held liable for:

• the User’s interpretation, implementation, or reliance upon any scores, protocols, or suggestions provided by the Application;

• the failure to achieve any expected or desired results, as all suggestions are provided for informational purposes only and depend on numerous individual variables beyond the Company’s control;

• any adverse effects, injuries, or health issues resulting from dietary supplementation, nutritional changes, or physical exercise routines undertaken by the User based on information available within the Application.

To the maximum extent permitted by applicable law, the Company’s total cumulative liability arising out of or related to these Terms of Service shall be strictly limited to the aggregate amount actually paid by the User for their Subscription during the twelve (12) months preceding the event giving rise to such liability.

The Company is the exclusive owner, or an authorized licensee, of all intellectual property rights in and to the Application and its Content, including but not limited to the scoring algorithms, biomarker databases, protocols, user interfaces, text, graphics, and all software and technology underlying the Application.

Any reproduction, representation, use, adaptation, or exploitation, in whole or in part, of the Application or its Content in any form, without the prior written consent of the Company, is strictly prohibited and constitutes an infringement of the Company’s intellectual property rights and applicable international copyright laws.

Subject to compliance with these Terms of Service, the User is granted a limited, personal, non-exclusive, non-assignable, and non-transferable license to access and use the Application solely for their personal, non-commercial use in connection with the services provided. This limited grant confers no ownership rights or title in or to the Application or its Content to the User.

The provisions governing the processing of the User’s personal data are set forth in the Privacy Policy, accessible directly within the Application and on the Company’s website at: https://www.bioscore-app.com/privacy-policy.

The User is invited to review this document, which is incorporated by reference into and forms an integral part of these Terms of Service.

The Company reserves the right to modify these Terms of Service at any time. In the event of a material change, the User will be notified via an in-app notification and/or by email at least fifteen (15) days prior to the effective date of the updated Terms.

Continued use of the Application after the effective date of such modifications constitutes full acceptance of the updated Terms of Service. If the User does not agree to the modified Terms, they may delete their Account and terminate their Subscription prior to the effective date.

These Terms of Service, and any disputes or claims arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles.

These Terms of Service are drafted and executed in the French language. Any translation of these Terms into any other language is provided solely for convenience. In the event of any conflict, discrepancy, or inconsistency between the French version and any translated version, the French language version shall prevail and control in all respects.

For Users residing in the United States, any dispute, controversy, or claim arising out of or relating to these Terms of Service or the use of the Application shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, rather than in court.

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
